Karen is a tax and corporate lawyer whose practice is focused on corporate and personal tax planning for business owners. She advises clients on tax and corporate matters relating to corporate reorganizations, sales and acquisitions of businesses, and estate planning. Karen’s practice also includes advising on GST/HST and other commodity tax matters for business owners, charitable organizations and others. Additionally, Karen has significant experience in tax litigation and dispute resolution with the Canada Revenue Agency, including broad experience with appeals to the Tax Court of Canada, applications to provincial superior courts for rectification and other discretionary relief, applications for judicial review in the Federal Court of Canada and Federal Court of Appeal and applications to the CRA’s Voluntary Disclosures Program.

Karen is ranked by the Canadian Legal Lexpert® Directory in the area of Litigation – Corporate Tax. She is frequently contacted by leading legal, accounting, and financial advisors for advice and formal opinions on a variety of complex tax matters. Her unique skill-set and experience has positioned her as a highly sought-after resource within the New Brunswick business community.

Karen completed the CPA In-depth HST/GST course in 2016 and Level II of the CICA (now CPA) In-Depth Tax Course in 2011. She holds an LL.B. from the University of New Brunswick (2008), LL.M. from the University of Toronto (2014) and was an Assistant Professor with the Faculty of Law at the University of New Brunswick in 2014 and 2015 where she taught upper-year courses including Business Organizations, Personal Taxation, Corporate Taxation and International Taxation. Lindsay’s practice is focused on corporate, employment and technology law, often for clients in the innovation and start-up sector. Lindsay is passionate about helping entrepreneurs realize their business goals from creation through growth. She advises clients on matters relating to corporate governance and organization, employment matters, corporate finance and venture capital investments along with the ownership, protection and licensing of intellectual property. She has over 10 years of experience working extensively with entrepreneurs, start-up companies and University researchers with a focus on issues surrounding research and development.

Lindsay is Vice Chair of the Board of Governors of the New Brunswick Community College and a past Board member of BioNB, the Fredericton Multi-Cultural Society, the Greater Moncton YMCA and the Fredericton Chapter of Canada Learning Code. Carole Chan

Carole has over ten years of experience helping companies effectively manage their legal and regulatory matters so that they can focus on and achieve their business objectives. With the capacity to practice in both French and English (and to a limited degree in Mandarin), she works primarily in the technology, natural resources, agri-business, and energy sectors.

As environmental counsel, Carole has advised clients on contamination and remediation of real property, sales of assets and businesses, insurance matters, and brownfield redevelopment. She has extensive experience with regulatory approval and assessment processes, having participated in complex development projects as well as multi-jurisdictional reviews of regulation and policy. Her correlative work in Aboriginal law includes significant consideration of the Duty to Consult with First Nations and the development of reconciliation-driven solutions.

Carole's technology practice has centered on helping clients protect and leverage their IP assets and on ensuring compliance related to cybersecurity, online marketing, and e-commerce. She has also advised on access to information and privacy matters.

Carole sits on the City of Moncton's Planning Advisory Committee as first vice-chair and is the vice-chair of the Board of Directors for Legs for Literacy. Carole is an active member of the Canadian Bar Association's National Environmental, Energy and Resources Law Section (NEERLS) and is the chair of the Canadian Bar Association - New Brunswick branch's Environmental Law Section. She has lectured at the Université de Moncton, University of New Brunswick and Dalhousie University.

Jessi is our property and estates paralegal. Her formal training includes St. Lawrence College where she completed a two-year Law Clerk programme in 18 months achieving academic distinction.
